about software applications available in the market for the
MacOS platform.

in the MacDirectory Software Database. Contact information

also helps us to notify you of additional marketing opportunities

or refuse your submission.
Legal Disclaimer:
I, the undersigned, having full authority to execute this
Release on behalf of myself and my company (which is identified
below) ("Company"), agree to participate
in the following programs:
Approval to feature products in all MacDirectory Marketing
programs and promotions described here (MacDirectory Online
web site; print version of the Macdirectory for end customers)
and any additional programs which are implemented on or before
December 31, 1999.
Developer warrants and represents that the Product(s); (i)
run on, are compatible with, or otherwise are for use in connection
with the current version of Apple's Mac OS software and then-shipping
Apple and third-party CPUs containing the current version
of Apple's Mac OS software, and (ii) be 32-bit clean ("Qualifying
Criteria").
Developer hereby agrees to indemnify and hold MacDirectory
harmless against any loss, liability, damage, cost, or expense
(including reasonable legal fees) arising out of any claims
or suits, whatever their nature and however arising, that
may be brought or made against MacDirectory (i) by reason
of Developer's breach, default, performance, or nonperformance
of this Agreement; and/or (ii) for any personal injury, product
liability, or other claim arising from the production, promotion,
distribution, sale and/or offer for sale, and/or performance
of the Product (s), or of the contents therein. MacDirectory
shall promptly notify Developer, in writing, of any claim
or preceeding brought against it for which it seeks indemnification
hereunder.
Company agrees that MacDirectory, and its agents, employees,
licensees and assigns, shall have the full right to do all
acts necessary to effectuate the purposes of the program(s)
for which Company has agreed to participate. Company warrants
and represents that any materials or other information (collectively,
";Materials") provided by Company for participation
in the programs are: (i) accurate, and (ii) either original
to and/or owned by Company and/or that Company has full authority
from the owner of such Materials to allow MacDirectory to
use the Materials in the programs.
MacDirectory reserves the right to stop or otherwise change
any or all of the programs at its sole discretion at any time.
MacDirectory will not be liable for any direct, incidental,
consequential, indirect or punitive damages arising out of
Company's participation in the programs, or any errors or
omissions in the posting of Company information included in
the programs.
Company releases MacDirectory, its agents, employees, licensees
and assigns from any and all claims Company may have now or
in the future for any defamation, right of publicity, trademark
infringement, copyright infringement or any other cause of
action arising out of the programs.
